These Terms & Conditions apply to all quotations, proforma invoices, purchase orders, manufacturing orders, supply agreements, private label orders, OEM orders, export orders, and any other business transaction between Fit Club Intl (“Company”, “Seller”, “Manufacturer”, “we”, “us”, or “our”) and its business customers (“Buyer”, “Client”, “Customer”, “you”, or “your”).

By placing an order, approving a quotation, paying an advance, issuing a purchase order, or accepting delivery of goods, the Buyer agrees to these Terms & Conditions.

1. Business-to-Business Terms Only

Fit Club Intl operates as a B2B manufacturing and supply company. Our products and services are intended for business buyers, retailers, distributors, wholesalers, private label brands, importers, exporters, and commercial clients.

These Terms do not apply to consumer retail purchases unless expressly agreed in writing.

2. Quotations and Pricing

All quotations issued by Fit Club Intl are valid only for the period mentioned in the quotation. If no validity period is mentioned, the quotation shall remain valid for 7 days from the date of issue.

Prices may change due to changes in raw material costs, currency exchange rates, labor costs, shipping charges, government duties, taxes, packaging costs, or any other cost affecting production.

A quotation does not create a binding obligation until the Buyer confirms the order in writing and pays the required advance payment.

All prices are quoted in PKR, USD, or any other agreed currency, as mentioned in the quotation or invoice.

3. Minimum Order Quantity

All orders are subject to the minimum order quantity agreed between the parties. The MOQ may vary depending on product type, material, size range, customization, packaging, branding, color, and production requirements.

Fit Club Intl reserves the right to reject or revise any order that does not meet the required MOQ.

4. Order Confirmation

An order shall be considered confirmed only when:

  1. The Buyer approves the quotation, proforma invoice, sample, design, or specification in writing;
  2. The Buyer provides all required order details, artwork, logos, labels, packaging instructions, sizes, quantities, and shipping details; and
  3. Fit Club Intl receives the agreed advance payment.

Once an order is confirmed, cancellation or modification shall only be allowed with written approval from Fit Club Intl.

5. Samples and Approval

Samples may be provided upon request, subject to sample charges, development charges, courier charges, and applicable taxes.

Production shall begin only after the Buyer approves the final sample, design, size chart, material, color, logo placement, packaging, or technical specification.

Any changes requested after sample approval may result in additional costs and extended production time.

The approved sample shall be treated as the production standard unless otherwise agreed in writing.

6. Product Specifications

The Buyer is responsible for providing accurate product specifications, including but not limited to:

  • Product design
  • Material or fabric details
  • Color codes
  • Size chart
  • Logo files
  • Label and tag details
  • Packaging requirements
  • Printing, embroidery, stitching, or finishing instructions
  • Compliance or testing requirements
  • Shipping marks and carton details

Fit Club Intl shall not be responsible for errors caused by incomplete, incorrect, unclear, or late information provided by the Buyer.

7. Custom Manufacturing and Tolerance

The Buyer acknowledges that custom manufacturing may involve minor variations. Reasonable tolerance may apply to:

  • Color shade
  • Fabric weight
  • Measurement
  • Stitching
  • Printing or embroidery placement
  • Packaging
  • Production quantity
  • Finishing

Such minor variations shall not be considered defects if they are within normal manufacturing tolerance or industry practice.

8. Buyer’s Artwork, Logos, and Intellectual Property

The Buyer represents and warrants that it owns or has legal permission to use all logos, trademarks, designs, artwork, brand names, images, labels, and other intellectual property provided to Fit Club Intl.

Fit Club Intl shall not be responsible for any trademark, copyright, design, branding, or intellectual property dispute arising from the Buyer’s supplied materials.

The Buyer agrees to indemnify Fit Club Intl against any claim, loss, penalty, legal cost, or damage resulting from the use of Buyer-provided intellectual property.

Fit Club Intl shall not sell, reproduce, or disclose the Buyer’s private label designs to third parties, except where required for production, sourcing, packaging, logistics, legal compliance, or order fulfillment.

9. Payment Terms

Payment terms shall be as stated in the quotation, proforma invoice, sales contract, or written agreement.

Unless otherwise agreed, the standard payment terms are:

  • Advance Payment: 70% before production starts
  • Balance Payment: 30% before dispatch, delivery, or shipment

Fit Club Intl reserves the right to stop production, hold goods, delay shipment, or cancel the order if payment is not received on time.

All bank charges, transfer fees, currency conversion charges, and intermediary bank deductions shall be borne by the Buyer unless otherwise agreed in writing.

10. Taxes, Duties, and Government Charges

Prices are exclusive of applicable taxes, duties, levies, customs charges, withholding tax, sales tax, or any other government charges unless expressly stated otherwise.

For local sales in Pakistan, applicable taxes shall be charged according to Pakistani tax laws.

For export orders, the Buyer shall be responsible for import duties, customs clearance, local taxes, destination charges, documentation requirements, and compliance in the destination country unless otherwise agreed in writing.

11. Production Lead Time

Production lead time shall begin only after:

  1. Order confirmation;
  2. Receipt of advance payment;
  3. Approval of final sample or specifications; and
  4. Receipt of all required materials, artwork, labels, packaging details, and technical information from the Buyer.

Any delay from the Buyer’s side may extend the production or delivery schedule.

Production lead times are estimates and may vary due to material availability, production capacity, labor conditions, customs delays, shipping delays, public holidays, government restrictions, power issues, force majeure events, or any other circumstances beyond the control of Fit Club Intl.

12. Packaging

Standard packaging shall be provided unless special packaging is requested and approved in writing.

Special packaging, branded packaging, custom labels, hang tags, cartons, barcodes, poly bags, inserts, stickers, or other packaging requirements may involve additional charges.

The Buyer must approve all packaging requirements before production. Fit Club Intl shall not be responsible for packaging disputes if the Buyer fails to provide clear instructions before production.

13. Inspection and Quality Control

Fit Club Intl shall conduct internal quality checks during and after production.

The Buyer may request third-party inspection, pre-shipment inspection, lab testing, or quality audit at the Buyer’s own cost.

Any inspection must be completed before shipment or delivery. Once the goods are dispatched, shipped, or collected, the order shall be considered accepted unless a written claim is made within the claim period mentioned in these Terms.

14. Delivery, Shipping, and Risk

Delivery terms shall be as agreed in the quotation, invoice, purchase order, or written agreement.

For local orders, delivery may be made through company transport, courier, cargo service, or Buyer-arranged pickup.

For export orders, delivery may be arranged under agreed trade terms such as EXW, FOB, CIF, CFR, DAP, or any other agreed Incoterms rule.

Unless otherwise agreed in writing, risk of loss or damage passes to the Buyer once the goods are handed over to the Buyer, courier, cargo company, freight forwarder, shipping agent, or transporter.

Fit Club Intl shall not be responsible for delays, damage, loss, demurrage, storage charges, customs delays, port delays, or destination charges caused by the shipping company, customs authority, freight forwarder, courier, or Buyer’s nominated agent.

15. Buyer-Arranged Shipping

If the Buyer arranges its own shipping, freight forwarder, courier, cargo company, or clearing agent, Fit Club Intl’s responsibility shall be limited to making the goods available for pickup or handing them over as instructed by the Buyer.

Any delay, loss, damage, documentation error by the Buyer’s agent, or additional cost after handover shall be the Buyer’s responsibility.

16. Export Documentation

For export orders, Fit Club Intl may provide standard export documents, where applicable, such as:

  • Commercial invoice
  • Packing list
  • Certificate of origin, if required and available
  • Export documents required from Pakistan
  • Any other agreed documents

Any special documentation, legalization, attestation, inspection certificate, lab test, compliance certificate, or country-specific requirement must be communicated before order confirmation and may involve additional charges.

17. Returns, Claims, and Defects

The Buyer must inspect the goods immediately upon receipt.

Any claim regarding shortage, damage, defect, incorrect product, or quality issue must be submitted in writing within 7 days of receipt of goods.

The claim must include:

  • Order number or invoice number
  • Clear description of the issue
  • Photos and videos
  • Quantity affected
  • Carton details, if applicable
  • Inspection report, if available

Fit Club Intl shall not accept any claim after the claim period unless required by law or agreed in writing.

Minor variations, normal manufacturing tolerance, misuse, improper storage, incorrect washing, mishandling, damage during transport, or damage caused after delivery shall not be treated as manufacturing defects.

18. Remedies for Valid Claims

If Fit Club Intl confirms that goods have a manufacturing defect, the Company may, at its discretion:

  1. Repair the defective goods;
  2. Replace the defective goods;
  3. Offer a credit note; or
  4. Provide another commercially reasonable solution.

Fit Club Intl shall not be liable for indirect loss, resale loss, loss of profit, brand damage, market loss, penalties from the Buyer’s customers, or any consequential damages.

19. Order Cancellation

Confirmed orders cannot be cancelled without written approval from Fit Club Intl.

If the Buyer cancels an order after confirmation, the Buyer shall be responsible for all costs already incurred, including but not limited to:

  • Raw materials
  • Labor
  • Sampling
  • Production
  • Printing
  • Embroidery
  • Packaging
  • Labels
  • Accessories
  • Storage
  • Administrative expenses

Advance payments may be non-refundable where costs have already been incurred.

20. Storage of Finished Goods

If the Buyer fails to pay the balance amount, provide shipping instructions, arrange pickup, or complete required documentation, Fit Club Intl may store the finished goods for a reasonable period.

After 15 days from completion notice, storage charges may apply.

If the Buyer fails to collect or ship the goods within 60 days, Fit Club Intl may take any commercially reasonable action, including charging storage fees, cancelling the order, selling the goods, or disposing of the goods to recover costs, subject to applicable law.

21. Confidentiality

Both parties agree to keep confidential all business, technical, commercial, pricing, production, design, customer, supplier, and private label information shared during the business relationship.

Confidential information shall not be disclosed to any third party without written consent, except where required for order fulfillment, legal compliance, tax compliance, banking, shipping, inspection, or professional advisory purposes.

22. Non-Circumvention

The Buyer shall not directly approach, bypass, or deal with Fit Club Intl’s suppliers, subcontractors, workers, vendors, factories, agents, or production partners introduced through Fit Club Intl for the purpose of avoiding Fit Club Intl’s commercial role.

This obligation shall remain valid for 2 years after the last transaction between the parties.

23. Compliance

The Buyer is responsible for ensuring that the ordered products, labeling, packaging, claims, certifications, import requirements, safety requirements, and resale requirements comply with the laws of the destination country.

Fit Club Intl shall not be responsible for refusal, seizure, penalty, delay, rejection, or non-compliance in the Buyer’s country where the Buyer failed to provide specific compliance requirements before production.

24. Force Majeure

Fit Club Intl shall not be liable for delay or failure to perform due to events beyond its reasonable control, including but not limited to:

  • Natural disasters
  • Fire, flood, earthquake, or extreme weather
  • War, terrorism, political unrest, strikes, or riots
  • Government restrictions
  • Import/export restrictions
  • Customs delays
  • Pandemic or epidemic
  • Power failure
  • Raw material shortage
  • Port congestion
  • Shipping delays
  • Currency restrictions
  • Any other event beyond reasonable control

In such cases, performance time shall be reasonably extended.

25. Limitation of Liability

Fit Club Intl’s total liability for any claim shall not exceed the amount paid by the Buyer for the specific goods giving rise to the claim.

Fit Club Intl shall not be liable for indirect, incidental, special, punitive, or consequential losses, including but not limited to loss of profit, loss of business, loss of customers, reputational loss, resale loss, or penalties imposed by third parties.

26. Indemnity

The Buyer agrees to indemnify and hold harmless Fit Club Intl, its owners, directors, employees, agents, suppliers, and representatives from any claim, loss, damage, penalty, cost, or expense arising from:

  • Buyer-provided designs, logos, trademarks, or artwork
  • Incorrect specifications provided by the Buyer
  • Misuse or resale of products
  • Non-compliance in the destination country
  • Breach of these Terms
  • Claims made by Buyer’s customers or third parties

27. No Exclusivity

Unless agreed in a separate written agreement, nothing in these Terms creates an exclusive business relationship between Fit Club Intl and the Buyer.

Fit Club Intl may manufacture, supply, sell, or provide services to other customers, brands, distributors, or markets.

28. Governing Law

These Terms & Conditions shall be governed by and interpreted in accordance with the laws of the Islamic Republic of Pakistan.

29. Dispute Resolution

In case of any dispute, both parties shall first try to resolve the matter through good-faith negotiation.

If the dispute is not resolved within 30 days, the matter may be referred to arbitration in [Insert City], Pakistan, in accordance with applicable laws of Pakistan.

The language of arbitration shall be English unless otherwise agreed.

The decision of the arbitrator shall be final and binding on both parties.

30. Jurisdiction

Subject to the dispute resolution clause above, the courts of [Insert City], Pakistan shall have jurisdiction over disputes arising from these Terms, unless otherwise agreed in writing.

31. Amendments

Fit Club Intl may update or revise these Terms & Conditions from time to time.

The Terms applicable to an order shall be the Terms in effect at the time of order confirmation, unless otherwise agreed in writing.

32. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue to remain valid and enforceable.

33. Entire Agreement

These Terms, together with the quotation, proforma invoice, purchase order, approved sample, specification sheet, and any written agreement between the parties, form the entire agreement between Fit Club Intl and the Buyer.

In case of conflict, the written quotation, proforma invoice, or signed agreement shall prevail over these general Terms, unless expressly stated otherwise.
